Purpose

These terms of sale (the "Terms") govern the use of the QR Matrix service, available at qrmatrix.app, and the purchase of its paid Pro plan. The service lets you create static QR codes and dynamic QR codes, whose destination can be changed after printing.

The service is published and sold by Hakili Labs, LLC, a Delaware limited liability company, 131 Continental Dr, Suite 305, Newark, DE 19713, United States ("we"). The Terms apply to anyone who creates an account or buys the Pro plan ("you"), whether as a consumer or as a business.

By creating an account or buying the Pro plan, you accept the Terms and the privacy policy without reservation. The service is for people aged 16 or over.

Plans and prices

  • Free plan: unlimited static QR codes without an account; with an account, one dynamic QR code, its statistics for the last 30 days, and PNG and SVG downloads.
  • Pro plan: up to 50 dynamic QR codes, statistics over the full history, CSV export, PDF download and folders.

The Pro plan costs 9 US dollars (USD) per month or 79 USD per year. Applicable taxes (VAT or sales tax) are calculated at checkout from your billing address, added to the price and payable by you. The payment page may offer an amount converted into your currency; any currency conversion or bank fees are payable by you.

There is no free trial of the Pro plan: the Free plan serves that purpose. A promotional code, if any, applies under the conditions shown at checkout; it cannot be combined, exchanged or applied retroactively.

We may change our prices, plans and their content at any time. A price increase is announced by email at least 30 days before the renewal it applies to. If you do not cancel before that renewal, the new price is deemed accepted.

Payment

Payment is made by card (or another method offered) on a page hosted by our payment provider, Stripe. We never receive or store your card details. Hakili Labs is the seller; invoices are issued in its name and available in your account, on the Subscription page.

The subscription is payable in advance and renews automatically, for the same duration, at each monthly or yearly term until it is cancelled. You authorise us to charge the saved payment method at each renewal. For a yearly subscription, a reminder is emailed to you before the renewal.

You are responsible for keeping a valid payment method. If a payment fails, new attempts are made and you are notified by email; without payment, the subscription ends and your account moves back to the Free plan. Amounts already due remain payable.

Disputing a payment with your bank (chargeback) without contacting us first may lead to the immediate suspension of access to your account.

Term and cancellation

The subscription has no commitment beyond the current period. You can cancel it at any time from the Subscription page of your account. Cancellation prevents the next renewal: it takes effect at the end of the period already paid, until which you keep the Pro plan.

When the Pro plan ends, your account moves back to the Free plan: your codes keep redirecting to their last destination, only one stays editable and the statistics shown are limited to the last 30 days.

You can delete your account at any time from the Settings page. A running subscription is then cancelled immediately, with no refund of the remaining period.

We may suspend or terminate your account, without notice or compensation, in the event of a breach of the Terms, fraud, prohibited use, abusive chargeback or a request from an authority. Amounts already paid are not refunded. In line with the "never deactivated" commitment, suspending an account does not cut the redirections of its codes, unless a code is blocked for abuse.

No refunds

All amounts paid are final and non-refundable, including in the event of cancellation during a period, move to the Free plan, account deletion, suspension for breach or non-use of the service. No pro-rata refund is granted. Cancellation only prevents future renewals.

This rule applies within the limits of the law. By buying the Pro plan, you expressly request that it be provided immediately, before the end of the withdrawal period. If you are a consumer living in the European Union and you exercise your statutory right of withdrawal within 14 days of the purchase, you remain liable for an amount proportionate to the service provided until the date of your withdrawal; only the balance is refunded to you.

"Never deactivated" commitment

A dynamic QR code encodes a short address (for example qr.qrmatrix.app/k7m2xbq) that redirects to the destination you chose. When a subscription ends, when a payment fails or when you move to the Free plan, the code keeps redirecting to its last destination, with no intermediate page or advertising. The short address of a code is never reassigned.

A code stops redirecting in three cases:

  • the code is blocked under the "Prohibited uses" section;
  • you delete the code: it then shows a "removed by its owner" page;
  • 12 months after your account is deleted: the codes stay active, anonymously, for 12 months, then show the "code removed" page.

This commitment does not cover the temporary interruptions described in the "Availability" section.

If we shut down

If we decide to stop the service, we will tell you by email at least 12 months in advance and keep the redirections running during that period. You can export at any time, from the Settings page, the list of your codes with their short address and destination. Stopping the service gives no right to any compensation or refund.

Prohibited uses

You alone are responsible for the destinations of your codes, for the content they lead to and for your use of the service. You may not use the service to redirect to:

  • phishing, malware or any page designed to deceive or to steal credentials or payment details;
  • content that is illegal in the user's country or in the United States, including child sexual abuse material, terrorist or hateful content, or content infringing the rights of others (trademarks, copyright, privacy);
  • spam, or another URL shortening or redirection service used to hide the final destination.

We may refuse a destination or block a code at our sole discretion, in particular when it is flagged by a dangerous-site detection service or by a third party from the Report abuse page. You are notified of a block by email. You may not disrupt the service either: attempted unauthorised access, circumventing plan limits, mass account creation or excessive automated use.

You will defend and indemnify us against any third-party claim, action or judgment arising from your codes, their destinations or a breach of the Terms, including reasonable legal fees.

Availability and support

The service is provided "as is" and "as available". We strive to keep it accessible, but we do not guarantee continuous availability, error-free operation or fitness for a particular purpose. It may be interrupted, in particular for maintenance, updates or a provider failure, without giving rise to any compensation or refund.

We may change the service and add, modify or remove features at any time. Support is provided by email at support@qrmatrix.app or through the contact form, with indicative response times.

Liability

We are only liable for a proven fault on our part and for direct damage only. We are not responsible for the content of the destinations chosen by users, for damage resulting from a use of the service contrary to the Terms, from a QR code printed too small, damaged or on an unreadable medium, from an interruption of the service, from a loss of data, or from a cause beyond our reasonable control.

To the fullest extent permitted by law, indirect damage such as loss of revenue, profit, customers, data or reputation is excluded. Our total liability, for all causes combined, is limited to the amounts you actually paid us in the 12 months before the event giving rise to the claim.

These exclusions and limitations do not apply where the law forbids them, in particular to the mandatory rights of consumers, nor in the case of gross negligence or wilful misconduct.

Personal data and intellectual property

How we process your personal data is described in the privacy policy.

You remain the owner of your content (code names, logos, destinations) and grant us a worldwide, royalty-free licence to host, reproduce and display it as needed to run the service. You warrant that you hold the rights to the logos and content you upload. The QR codes generated can be used freely. The website, its code, its brand and its content remain our exclusive property.

Changes to the Terms

We may change the Terms at any time. Any significant change is announced by email at least 30 days before it takes effect. Continuing to use the service after that date means you accept the new Terms; if you do not accept them, it is up to you to cancel before that date. The applicable version is the one published on this page, dated at the top.

Governing law and disputes

The Terms are governed by the laws of the State of Delaware (United States). Any dispute with a business customer falls under the exclusive jurisdiction of the courts of the State of Delaware.

If you are a consumer, you keep the benefit of the mandatory consumer protection rules of the country where you live and may bring a claim before the competent courts of that country. Before taking any action, please write to us at support@qrmatrix.app to look for an amicable solution.

If any clause of the Terms is held void or unenforceable, the other clauses remain in force. Not enforcing a clause does not mean waiving it.
